End User License Agreement (EULA)
Ctrl-V Terminal — software published by IT WORX ("we", "us", "IT WORX").
By downloading, installing or using Ctrl-V Terminal (the "Software"), you agree to this Agreement. If you do not agree, do not install or use the Software.
1. License grant
IT WORX grants you a personal, non-exclusive, revocable license to install and use the Software. Except as expressly permitted for Business seats (see §2), your license is not transferable to third parties. Depending on the edition:
- Free version — use the Software with up to 3 saved sessions, at no cost.
- Pro (personal) — after purchasing and activating a valid license key, use the Software with unlimited saved sessions, on up to 3 devices controlled by a single named user, for as long as you like (perpetual license for the current major version). The 3-device allowance is intended for the same person's own devices (e.g. work laptop, home desktop, tablet), not for shared use between multiple people.
- Business — sold as three fixed packs (5, 25 or 50 seats). Each pack ships as a single license key that may be activated on the number of devices matching the pack (5, 25 or 50). The Business license is granted to the ordering organization, for use within that organization only. See §2 for how packs are administered.
The Software is licensed, not sold.
2. License keys and Business seats
A license key is personal to the named user it is issued to. You may not share, publish, resell or sublicense it. Each key may be activated on a limited number of devices (3). We may deactivate or revoke a key that is shared with users other than its named holder, abused, or associated with a refunded or charged-back order.
Business packs. A Business pack ships as a single license key. The pack's seat count (5, 25 or 50) is the number of devices on which that key may simultaneously be activated. Devices activated with the key must belong to, or be operated for, the ordering organization; the key may not be shared with users or devices outside that organization.
Reassigning a seat. To move a seat from one device to another (for example when a colleague leaves or gets a new machine), deactivate the Software on the original device first — this frees one activation slot on the key, which can then be used on the new device. No prior approval from IT WORX is required, and there is no cap on how often a pack's own seats may be reassigned within the ordering organization.
Invoicing and VAT. Business orders may be invoiced by IT WORX or via our reseller Lemon Squeezy. VAT is charged where applicable; EU business customers may supply a valid VAT identification number so that reverse-charge rules apply. Purchase orders are accepted subject to prior written agreement.
3. Updates
Updates within the same major version (1.x) are included at no additional charge. A future major version (e.g. 2.0) may be a separate paid product or paid upgrade.
4. Restrictions
You may not: (a) reverse engineer, decompile or disassemble the Software except to the extent permitted by mandatory law; (b) circumvent, disable or tamper with the licensing or activation mechanism; (c) redistribute, rent, lease, resell or otherwise make the Software available to third parties; or (d) remove or alter any proprietary notices.
5. Your responsibility for connections
The Software connects to the servers and hosts you specify (via SSH and VNC) and transfers data on your instruction. You are solely responsible for ensuring you are authorized to access those systems and for your use of the Software.
6. Third-party components
The Software includes third-party open-source components (including xterm.js, ssh2, noVNC and others), each licensed under its own terms. Those licenses continue to apply to those components.
7. Intellectual property
The Software and all related intellectual property rights remain the property of IT WORX and its licensors.
8. Disclaimer of warranty
The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, IT WORX shall not be liable for any indirect, incidental, special or consequential damages, or for loss of data, profits or business, arising out of or related to your use of the Software. Nothing in this Agreement limits liability that cannot be limited under applicable law.
10. Refunds
Consumer purchases are processed by our reseller Lemon Squeezy (Merchant of Record) and are handled in accordance with the applicable refund policy shown at checkout, and with any mandatory consumer rights that apply (including, where applicable, the EU 14-day right of withdrawal for consumers).
Business purchases (multi-seat orders placed by or on behalf of an organization, whether via checkout or invoice) fall outside the EU consumer right of withdrawal and are refundable only per the refund policy shown at checkout or as agreed in writing with IT WORX prior to invoicing.
11. Termination
This license terminates automatically if you breach this Agreement. On termination you must stop using the Software. Sections that by their nature should survive (e.g. 7, 8, 9) survive termination.
12. Governing law
This Agreement is governed by the laws of the Netherlands. Disputes are subject to the competent courts of the Netherlands, without prejudice to mandatory consumer protection rights.
